CollegeTown AI Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CollegeTown AI mobile application, our web application located at app.collegetown.ai, our public informational website located at collegetown.ai, and all related services (collectively, the "Service") provided by Hintas, Inc. ("we," "us," or "our"). CollegeTown AI is a product of Hintas, Inc. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.


1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.


2. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service. The Service is intended for use by university students and members of the academic community. By using the Service, you represent that you meet these eligibility requirements.


3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Verification

We may require you to verify your account through email or text message (SMS) using one-time password (OTP) verification. By providing your email address or phone number, you consent to receive OTP codes and other verification messages via email or text message.


4. Communications

4.1 OTP Verification

We may send you email or text messages containing one-time passwords (OTPs) for account verification, password resets, and other security-related purposes. Standard message and data rates may apply to text messages. You may opt out of receiving text messages by replying "STOP" to any message, though this may limit your ability to use certain features of the Service.

4.2 Marketing Communications

By using the Service, you consent to receive marketing communications from us via email, text message, push notifications, or other electronic means. These communications may include information about new features, events, promotions, and other updates related to the Service. You may opt out of marketing communications at any time by following the unsubscribe instructions provided in such communications or by adjusting your notification preferences in your account settings.

4.3 Service-Related Communications

You may not opt out of receiving service-related communications, such as account notifications, security alerts, and important updates about the Service, as these are necessary for the proper functioning of your account.


5. User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Infringe upon the rights of others, including intellectual property rights, privacy rights, or publicity rights.
  • Transmit any content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks.
  • Use any robot, spider, or other automatic device to access the Service for any purpose without our express written permission.
  • Collect or store personal data about other users without their express permission.
  • Use the Service to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, and software, is owned by Hintas, Inc. and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 User Content

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with the Service.


7. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time with or without notice. We do not guarantee that the Service will be available at all times or that it will be free from errors, interruptions, or security vulnerabilities. We are not liable for any loss or damage resulting from such modifications, suspensions, or discontinuations.


8. Disclaimers and Limitation of Liability

8.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.


9. Indemnification

You agree to indemnify, defend, and hold harmless Hintas, Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.


10. Termination

You may terminate your account at any time by contacting us or using the account deletion features within the Service. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service will immediately cease.


11. Dispute Resolution, Binding Arbitration, and Class Action Waiver

Please read this section carefully as it affects your legal rights. It requires you to resolve most disputes with us through binding arbitration and limits the manner in which you can seek relief.

11.1. Applicability of Arbitration Agreement

All claims and disputes arising out of or relating to these Terms or the use of the Service that cannot be resolved in small claims court will be resolved by binding arbitration on an individual basis. This Arbitration Agreement applies to you and Hintas, Inc., and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns.

11.2. Informal Dispute Resolution First

We want to resolve disputes without resorting to arbitration. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at info@collegetown.ai with a detailed description of your claim. We will try to resolve the dispute informally through good faith negotiation. If the dispute is not resolved within sixty (60) days, either party may begin an arbitration proceeding.

11.3. Arbitration Rules

The Federal Arbitration Act governs the interpretation and enforcement of this dispute-resolution provision. Arbitration will be initiated through the American Arbitration Association ("AAA") and will be governed by the AAA's Consumer Arbitration Rules, available at www.adr.org or by calling 1-800-778-7879.

Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules. The arbitration will be conducted by a single, neutral arbitrator. The arbitration may be conducted by telephone, based on written submissions, or in person in Tallahassee, Florida.

11.4. Waiver of Jury Trial

You and Hintas, Inc. hereby waive any constitutional and statutory rights to sue in court and have a trial in front of a judge or a jury. You and Hintas, Inc. are instead electing that all claims and disputes shall be resolved by arbitration.

11.5. Waiver of Class or Consolidated Actions

All claims and disputes within the scope of this Arbitration Agreement must be arbitrated on an individual basis and not on a class or collective basis. Claims of more than one customer or user cannot be arbitrated or litigated jointly or consolidated with those of any other customer or user.

11.6. Opt-Out

You have the right to opt out of this Arbitration Agreement. If you do not wish to be bound by this Arbitration Agreement, you must notify us in writing within thirty (30) days of the date you first accept these Terms. Your written notification must be sent via email to info@collegetown.ai and must include: (1) your name, (2) the email address associated with your account, and (3) a clear statement that you wish to opt out of this Arbitration Agreement.

11.7. Governing Law

These Terms and any dispute arising from them will be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent any lawsuit or court proceeding is permitted under these Terms (e.g., in small claims court or if you opt-out of arbitration), you and Hintas, Inc. agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Tallahassee, Florida.


12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Service or by sending you an email notification. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.


13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
